Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and NestCloud LLC, a Texas limited liability company, governing your use of the NestCloud™ platform and all associated services (the "Service"). By creating an account or using the Service, you agree to these Terms in full.

1 — Eligibility

You must be at least 18 years of age and have the legal capacity to enter a binding contract to use the Service. By using the Service you represent and warrant that both conditions are met.

2 — Accounts

You are responsible for providing accurate registration information and maintaining the confidentiality of your account credentials. All activity under your account is your responsibility. Notify us immediately at support@getnestcloud.com if you suspect unauthorized access.

3 — Subscription Plans & Billing

3.1 — Plans

NestCloud offers Forge (single-user), Pro (multi-seat), and Enterprise (custom) plans. Full feature details are listed on the Pricing page at getnestcloud.com/pricing.

3.2 — Free Trial

New Forge and Pro subscribers each receive a 14-day free trial. A valid payment method is required at signup but no charge is assessed until day 15. At the end of the trial period your subscription converts automatically to the paid monthly rate disclosed at signup. NestCloud will send an email reminder at least 3 days before the trial expires. You may cancel at any time during the trial at no charge.

3.3 — Standard Pricing

Annual subscriptions are billed as a single lump-sum payment and renew automatically. NestCloud will send a renewal reminder at least 30 days before the annual charge is processed.

3.4 — No Refunds

All subscription fees are non-refundable. This includes fees paid for the current billing period at the time of cancellation or termination. When you cancel, access continues through the end of your paid period — no partial-period refunds are issued.

3.5 — Price Changes

NestCloud may adjust subscription pricing. For existing subscribers, changes take effect no earlier than the next billing cycle following 30 days' advance notice by email. Continued use after the effective date constitutes acceptance.

4 — Cancellation & Termination

You may cancel at any time through account settings or by emailing support@getnestcloud.com. NestCloud may suspend or terminate your access for breach of these Terms, payment failure, or legal requirement. Upon account closure, all your data is permanently deleted in accordance with the Privacy Policy.

5 — Acceptable Use

You may use the Service solely for lawful internal business purposes. You agree not to reverse engineer the Service, sublicense or resell access, upload malicious files, attempt unauthorized access, or use the Service in violation of applicable law. Violations may result in immediate account termination without refund.

6 — Intellectual Property

NestCloud owns all rights in the Service, including its algorithms, software, and interfaces. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term. You retain ownership of all files and data you upload ("Customer Data") and all nesting outputs generated from your Customer Data.

7 — Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. NESTCLOUD DOES NOT WARRANT THAT NESTING RESULTS WILL ACHIEVE ANY PARTICULAR MATERIAL YIELD, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL OUTPUTS BEFORE USE IN A PRODUCTION ENVIRONMENT.

8 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NESTCLOUD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NESTCLOUD'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID IN THE PRIOR 12 MONTHS OR $100.00.

9 — Governing Law & Venue

These Terms are governed by the laws of the State of Texas. Any disputes must be brought exclusively in the state or federal courts located in Travis County, Texas. Before initiating any formal proceeding, you agree to contact us at support@getnestcloud.com and allow 30 days for good-faith informal resolution.

10 — General

These Terms, together with the Privacy Policy and any written Enterprise agreement, constitute the entire agreement between you and NestCloud. NestCloud may update these Terms with 14 days' notice by email. Continued use after the effective date constitutes acceptance. You may not assign your rights under these Terms without our written consent.

Privacy Policy

NestCloud LLC ("NestCloud," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy describes how we collect, use, store, and disclose information when you use the NestCloud™ platform (the "Service").

1 — Information We Collect

Account Information

When you register, we collect your name, email address, company name, account role, and subscription status. Passwords are stored in hashed form — we never store plain-text passwords.

Payment Information

Payments are processed by Stripe, Inc. NestCloud does not receive or store your full card number, CVV, or bank details. Stripe provides us with a payment token and limited card metadata (brand, last four digits, expiration) for billing management only. Stripe's privacy practices are governed by stripe.com/privacy.

Uploaded Files

When you upload design files (DXF, SVG, AI, EPS):

• Raw file bytes are stored in encrypted cloud storage (AWS S3, us-east-1 region) for up to 90 days from the date of upload, then automatically and permanently deleted.
• Parsed geometry (vertex coordinates, bounding dimensions, contour data) is stored in our database and retained for as long as your account is active.
• Temporary processing files are written to a server during parsing and deleted immediately afterward — they are never permanently stored.

Job & Business Data

Job configurations, nesting results, NC outputs, customer records, and inventory data you create within the Service are stored in our database and retained for the life of your account.

Usage & Technical Data

We collect log data (IP address, browser type, pages accessed, error events) and device information to operate and improve the Service. Log data is retained for up to 90 days.

Analytics

NestCloud may in the future use analytics tools to understand feature usage patterns. If analytics are enabled, this Policy will be updated. We will not share your Customer Data (uploaded files, job records, geometry) with any analytics provider.

2 — How We Use Your Information

We use your information to: provide and operate the Service; process subscription payments; parse and analyze your uploaded files to generate nesting results; send transactional communications (receipts, renewal reminders, service notices); respond to support requests; monitor usage to improve the Service; detect and prevent fraud; and comply with legal obligations.

We do not use your Customer Data to train machine learning models or for any purpose other than providing the Service to you.

3 — Data Retention

On account deletion: all data associated with your account — including S3 file bytes, parsed geometry, job records, and account information — is permanently and immediately deleted. The 90-day S3 retention window does not apply after account deletion; file purge is immediate.

4 — How We Share Your Information

We do not sell, rent, or trade your personal information or Customer Data. We share limited information only with:

• AWS — cloud storage and application infrastructure (us-east-1)
• Stripe — payment processing
• Legal authorities — if required by law, regulation, subpoena, or court order
• Acquirers — in a merger or asset sale (you will be notified before transfer)

5 — Security

We implement industry-standard security measures including: TLS encryption in transit; encryption at rest in AWS S3 and our database; hashed password storage; and access controls limiting data access to authorized personnel on a need-to-know basis. No method of internet transmission is 100% secure; we cannot guarantee absolute security.

6 — Your Rights & Choices

You may access and update your account information at any time in account settings. You may permanently delete your account and all associated data at any time through account settings — deletion is irreversible.

California residents (CCPA): You have the right to know what personal information we collect and use, the right to delete your personal information, and the right to opt out of the sale of personal information (NestCloud does not sell personal information). To exercise CCPA rights, contact support@getnestcloud.com. We will respond within 45 days.

7 — Children's Privacy

The Service is intended for users who are at least 18 years of age. We do not knowingly collect personal information from anyone under 18. If you believe we have inadvertently collected information from a minor, contact us at support@getnestcloud.com and we will promptly delete it.

8 — Data Location

NestCloud is based in the United States. Your information is stored and processed in the US (AWS us-east-1, Northern Virginia). By using the Service, you consent to this transfer and processing.

9 — Changes to This Policy

NestCloud may update this Privacy Policy from time to time. Material changes will be communicated by email at least 14 days before taking effect. The "Last Updated" date at the top of this Policy reflects the most recent revision. Continued use after the effective date constitutes acceptance.
